This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, "Licensee" or "you") and Command Pal Pro ("Licensor," "we," "us," or "our"), located in Pasadena, California, USA, for the Command Pal Pro software product, which includes computer software and may include associated media, printed materials, and online or electronic documentation (collectively, the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
Subject to the terms and conditions of this EULA and upon payment of the applicable license fee, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:
Granted to individual users for personal, non-commercial use. The Software may be installed on up to three (3) devices owned by the individual licensee.
Granted to businesses and organizations. Each individual user within the organization must have a separate license. Volume licensing is available for organizations requiring multiple licenses.
Available at discounted rates for students and educational institutions with valid verification. Educational licenses may not be used for commercial purposes.

The Software is licensed, not sold. This EULA grants you only the rights explicitly stated herein. All title, ownership rights, and intellectual property rights in and to the Software remain with the Licensor. The Software is protected by copyright laws and international treaty provisions.
Command Pal Pro, its logos, and all related names, logos, product and service names, designs, and slogans are trademarks of the Licensor. You may not use such marks without the prior written permission of the Licensor.
The Software may include third-party software components that are subject to separate license terms. Such third-party licenses are included in the Software documentation or accessible through the application.
The Software requires activation with a valid license key. You must provide accurate information during the activation process.
The Software may periodically verify the validity of your license key. This verification requires an internet connection and does not collect personal information beyond what is necessary for license validation.
You may deactivate your license on a device to transfer it to another device, subject to the installation limit. Deactivation can be performed through the Software's license management interface.
Your license includes free minor updates (e.g., version 1.x to 1.y) for the current major version. Updates may include bug fixes, performance improvements, and minor feature enhancements.
Major version upgrades (e.g., version 1.x to 2.x) may be offered at a discounted upgrade price for existing license holders. Licensor is not obligated to provide major upgrades.
The Software may check for and download updates automatically. You can disable automatic updates in the Software settings, though this may affect functionality and security.
This EULA is effective upon your acceptance and remains in effect until terminated.
You may terminate this EULA at any time by uninstalling and destroying all copies of the Software in your possession.
This EULA will automatically terminate if you fail to comply with any term herein. Licensor may also terminate this EULA if you breach any provision, with or without notice.
Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession. Provisions concerning intellectual property rights, warranties, limitation of liability, and indemnification shall survive termination.
Licensor warrants that the Software will perform substantially in accordance with its documentation for a period of thirty (30) days from the date of purchase ("Warranty Period").

EXCEPT AS EXPRESSLY SET FORTH IN SECTION 7, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LICENSOR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.
You agree to indemnify and hold harmless the Licensor from and against any claims, actions, or demands, including reasonable legal fees, arising from or related to your use of the Software or your violation of this EULA.
The Software may collect anonymous usage data, crash reports, and performance metrics to improve product quality. No personally identifiable information is collected without your explicit consent.
Your use of the Software is also governed by our Privacy Policy, which is incorporated by reference into this EULA.
The Software may be subject to United States export control laws. You agree not to export or re-export the Software to any country, person, or entity in violation of U.S. export restrictions.
If you are a U.S. Government end user, the Software is provided with "RESTRICTED RIGHTS" as defined in applicable U.S. law. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in this EULA.
This EULA shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under this EULA will be brought exclusively in the courts located in Los Angeles County, California, and you consent to personal jurisdiction in such courts.
Any dispute arising from this EULA shall first be attempted to be resolved through informal negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the American Arbitration Association's Commercial Arbitration Rules.
If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
This EULA constitutes the entire agreement between you and Licensor concerning the Software and supersedes all prior or contemporaneous understandings, agreements, or representations, whether written or oral.
Licensor reserves the right to modify this EULA at any time. Changes will be effective upon posting on our website. Your continued use of the Software after such changes constitutes acceptance of the modified EULA.
The failure of Licensor to exercise or enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
